These Terms of Service (“Terms”) govern your access to and use of the GearFive macOS application, control plane, and website (the “Service”), provided by Kelios LLC (“GearFive”, “we”, “us”). By using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you are authorized to bind that organization.
1. The Service
GearFive provides AI coding-agent governance for managed Mac fleets: measuring spend, enforcing model and budget policy, and surfacing waste. We grant you a limited, non-exclusive, non-transferable, revocable license to install and use the Service for your internal business purposes, subject to these Terms and any plan you purchase.
2. Accounts & eligibility
You must provide accurate account information and keep your credentials secure. You are responsible for activity under your account. The Service is intended for business use by individuals aged 16 or older.
3. Organization & managed deployments
Where the Service is deployed by an organization — including via Apple mobile device management (MDM) or Automated Device Enrollment — the organization's administrators configure policies and may view fleet usage metadata and policy state for managed devices, as described in our Privacy Policy. The organization is responsible for its policies and for notifying its users as required by applicable law.
4. Acceptable use
You agree not to:
- use the Service unlawfully or in violation of third-party rights;
- circumvent, disable, or tamper with enforcement, billing, or security features;
- reverse engineer or attempt to extract source code, except to the extent this restriction is prohibited by applicable law;
- resell, sublicense, or provide the Service to third parties except as expressly permitted; or
- interfere with the integrity or performance of the Service.
5. Plans, billing & cancellation
The Service may be offered in free and paid tiers. Paid plans are billed in advance on a recurring basis and renew automatically until cancelled. Fees are exclusive of taxes unless stated. Except where required by law, fees are non-refundable. You may cancel a paid plan at any time; access continues through the end of the current billing period.
6. Third-party services
The Service works alongside third-party products — including AI coding agents, Apple's operating systems and MDM, and cloud infrastructure. We are not responsible for third-party products, their availability, pricing, or changes, and your use of them is governed by their own terms.
7. Intellectual property
The Service, including its software, design, and content, is owned by Kelios LLC and its licensors and is protected by intellectual-property laws. If you provide feedback, you grant us a non-exclusive, royalty-free license to use it to improve the Service.
8. Disclaimers
The Service is provided “as is” without warranties of any kind, to the fullest extent permitted by law. In particular:
- Cost figures are estimates calculated at published list prices and are not a statement of billed charges from any provider.
- Policy enforcement depends on configuration and deployment. The strongest, tamper-resistant enforcement requires MDM-managed devices; on unmanaged installs, controls are local and may be alterable by a user with sufficient privileges.
9. Limitation of liability
To the fullest extent permitted by law, GearFive and Kelios LLC will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues. Our total liability for any claim relating to the Service will not exceed the amounts you paid us for the Service in the twelve months before the claim.
10. Indemnification
You agree to indemnify and hold harmless Kelios LLC from claims arising out of your misuse of the Service or violation of these Terms or applicable law.
11. Term & termination
These Terms apply while you use the Service. We may suspend or terminate access for breach of these Terms or to protect the Service. You may stop using the Service at any time. Provisions that by their nature should survive termination will survive.
12. Changes
We may update the Service and these Terms. For material changes to these Terms we will update the “Last updated” date and provide notice where required. Continued use after changes take effect constitutes acceptance.
13. Governing law
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-laws rules, except where mandatory local law applies to you.
